SPRCHRGR Terms Regarding Our People

The following additional Terms are incorporated into the standard Terms of Service posted at https://sprchrgr.com/terms-of-service.
SPRCHRGR may modify these Terms from time to time by posting revised terms on its website and any such modification will be effective and binding on Customer thirty (30) days after such modification is posted at https://sprchrgr.com/our-people.
SPRCHRGR invests heavily to recruit and train the staff we engage (“Our People”) to provide Services to you. The training Our People receive from us incorporates our proprietary intellectual property, which cannot later be unbundled from Our People. Our People therefore have superior skills and value to all future employers as a result of our training, and you recognize that there is a premium marketable value to these investments that we make into Our People that is worth more than other job candidates you or we may source and hire to work directly for Customer's business who have not received our proprietary training and intellectual property.
You also agree that, but for your Services engagement with the Company and your resulting direct interactions with Our People, you would not have known about or had access to Our People or had the opportunity to recruit them. You therefore agree in advance to pay our standard Recruiting Service Fees ("Recruiting Fee") for any of Our People who you or your affiliates hire (or engage as independent consultants) during or within one year after we provide Services to you, which are calculated as follows for each individual you recruit from Our People: the greater of 50% of the full annualized compensation (a) received from us prior to the date you hire them, or (b) offered to them by you or your affiliates as of the date you hire them.
As an alternative to recruiting Our People, we invite you to engage our recruiting team to source a different person (other than Our People) especially for you. While outside recruiters typically charge a Recruiting Fee of between 20-30% of the hired employee’s full projected first year compensation, we will only charge you a 15% Recruiting Fee for the same service pertaining to any candidate (other than Our People) who we source for you, resulting in substantially lower costs to both you and us. In either case, half of the Recruiting Fee is due, payable, and fully earned by SPRCHRGR on the first date of employment by you or your affiliates for each newly recruited candidate, and the second half is due, payable, and fully earned by SPRCHRGR 90 days after the candidate's first date of employment by you or your affiliates.
